1. Introduction

These Terms of Service (hereinafter referred to as "these Terms") constitute a legally binding agreement between you (hereinafter referred to as "User") and Tokyo Stupid Games (hereinafter referred to as "we," "us," or "our") regarding the use of our website, NFTs, marketplace, and related services (hereinafter referred to as "the Service").

These Terms set forth the fundamental conditions for using the Service. Certain services or features may be subject to additional or supplemental terms (hereinafter referred to as "Supplemental Terms"), which are incorporated into these Terms. In the event of any inconsistency between these Terms and any Supplemental Terms, the Supplemental Terms shall prevail.

By using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. About the Service

We operate a marketplace utilizing NFTs, enabling users to purchase, sell, and manage NFTs (hereinafter referred to as "Tokyo Stupid Games NFTs"). Tokyo Stupid Games NFTs are digital assets representing corresponding real-world assets (hereinafter referred to as "RWA").

Users who purchase Tokyo Stupid Games NFTs (hereinafter referred to as "Buyers") have the right to store the corresponding RWA and may, under certain conditions, request delivery, convert them to CANDY points, or exchange them for SOL.

While we may facilitate transactions, we are not a party to transactions involving Tokyo Stupid Games NFTs and do not guarantee the quality, legality, or completeness of such transactions. We assume no responsibility for disputes between users.

3. Purchase and Sale of Tokyo Stupid Games NFTs

The prices and payment terms for Tokyo Stupid Games NFTs offered through the Service will be clearly stated at the time of purchase. Buyers must fulfill their payment obligations in the agreed currency (whether cryptocurrency or fiat) at the time of purchase, and currency fluctuations do not impact payment obligations.

Users are responsible for connecting their wallets and transferring cryptocurrency as needed to complete transactions. We do not access or manage users' wallets, private keys, or passwords and assume no responsibility for their security.

4. Secondary Sales of NFTs

Users may sell Tokyo Stupid Games NFTs on compatible secondary marketplaces. We do not participate in or assume responsibility for transactions conducted on such marketplaces.

Additionally, secondary sales of Tokyo Stupid Games NFTs will be subject to a transaction fee (hereinafter referred to as "Tokyo Stupid Games Fee"), which will be automatically deducted from the sale proceeds.

5. Redemption of RWA

Users may burn (permanently destroy) their Tokyo Stupid Games NFTs to receive the corresponding RWA. RWA delivery is subject to the conditions set by us, and users shall bear all related fees, including shipping and taxes.

In addition to RWA redemption, Tokyo Stupid Games NFTs can be converted into CANDY points or exchanged for SOL. Low-rarity items may also be converted into CANDY points.

6. User Responsibilities

Users must ensure that:

• Transactions involving Tokyo Stupid Games NFTs and RWA redemption comply with applicable laws and regulations.

• The Service is not used for fraudulent activities, money laundering, or illegal financial transactions.

• All information provided regarding Tokyo Stupid Games NFTs and RWA is accurate.

We reserve the right to suspend or restrict user accounts if we determine that they have violated these Terms.

7. Disclaimer

We do not guarantee that the Service will always be safe, accurate, or reliable. Users acknowledge that they may experience losses due to factors such as fluctuations in NFT values, technical issues, third-party security breaches, or regulatory changes, and we assume no liability for such losses.

8. Dispute Resolution

These Terms and any disputes arising from the use of the Service shall be governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance.

9. Changes to the Terms

We reserve the right to modify these Terms at any time. If changes are made, we will notify users through appropriate means. Continued use of the Service after such changes will be deemed acceptance of the updated Terms.
